General Terms and Conditions

§ 1 Scope
These General Terms and Conditions apply to all business relationships between BB Internet GmbH (operator of the HempWholesales platform, Alte Steinhauserstrasse 19, 6330 Cham, Switzerland) and its B2B customers. Deviating conditions of the customer are not recognized unless we expressly agree to their validity in writing.
§ 2 Contract Formation
Our offers are non-binding. A contract is only concluded through our written order confirmation or through the execution of delivery.
§ 3 Prices and Payment
All prices are net plus statutory VAT. Volume prices apply as stated on the respective product page. Payment terms: 30 days net, unless otherwise agreed. Enterprise customers can negotiate individual payment terms (up to Net 60).
§ 4 Delivery
Goods are shipped from our warehouse in the Czech Republic. Deliveries are made EU-wide. Standard shipping: 3-5 business days. Express: 48 h. Delivery dates are non-binding unless expressly confirmed as binding. Delivery is on Incoterm DAP (Delivered at Place, Incoterms 2020): we bear the transport risk up to delivery; import VAT, excise duties (in particular the German tobacco tax on CBD flowers and hash) and other destination-country charges are payable by the buyer. For intra-Community B2B deliveries from our Czech warehouse to buyers holding a valid VAT-ID of another EU Member State, the reverse-charge mechanism (Art. 138 VAT Directive) applies.
§ 5 White Label & Dropshipping
For white label orders: The customer ensures that all uploaded designs and trademarks are free from third-party rights. BB Internet GmbH assumes no liability for trademark infringements caused by customer-provided content. Dropshipping orders are processed within 24h.
§ 6 Warranty
Statutory warranty rights apply to all products. All CBD products are EU-compliant (THC < 0.2%) and delivered with a Certificate of Analysis (COA). Complaints must be reported in writing within 14 days of delivery.
§ 7 Liability
Our liability is limited to intent and gross negligence. In cases of slight negligence, we are only liable for breach of essential contractual obligations, limited to foreseeable, contract-typical damages.
§ 8 Final Provisions
Swiss law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with this business relationship is Cham (Canton of Zug, Switzerland). Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
§ 9 CBD-Specific Provisions
All CBD products distributed through the HempWholesales platform are offered exclusively as aroma products or industrial raw materials. They are not approved as medicinal products, food or dietary supplements and are not marketed as such. The THC content of all products is below the applicable legal limits (Switzerland: < 1.0 %; EU / Germany: < 0.2 %). For each batch we provide a current Certificate of Analysis (CoA) from an accredited laboratory on request. Tobacco-tax note: CBD flowers and CBD hash are considered tobacco substitutes under the German Tobacco Tax Modernisation Act and are subject to German tobacco tax. Unless agreed otherwise in writing, registration with the competent Hauptzollamt and payment of the tobacco tax is the responsibility of the buyer as placing party in the German tax territory.
§ 10 Buyer's Responsibility
By placing an order, the buyer confirms that they are a registered business operator. The buyer is solely responsible for compliance with all applicable laws and regulations in their country regarding the import, storage, labeling and resale of CBD products. BB Internet GmbH assumes no liability for the buyer's violations of local, national or international regulations. The buyer undertakes to independently verify the legal situation in their sales market before resale.
§ 11 Health Claims Prohibition
The buyer undertakes not to make any health-related claims in connection with the purchased CBD products. This includes in particular claims about healing, alleviating or preventive effects in relation to diseases. The buyer indemnifies BB Internet GmbH against all third-party claims arising from violation of this obligation. Advertising materials containing health claims may not be used.
§ 12 Recall Cooperation
In the event of a product recall, the buyer undertakes to fully cooperate with BB Internet GmbH. This includes the immediate cessation of sales of affected batches, notification of own customers, return of affected goods and documentation of the recall process. The buyer is obligated to ensure complete traceability of all purchased products and to maintain corresponding records for at least three years.
§ 13 Country Restrictions
Certain products are not deliverable to certain countries or are subject to special restrictions. BB Internet GmbH reserves the right to reject orders if delivery to the destination country would violate applicable law. As of May 2026: CBD flowers, hash, prerolls and cannarettes are not shipped to Italy (Decreto-Legge 48/2025), Sweden, Finland, Denmark and Norway. CBD oils, edibles, distillates and vapes are not shipped to France (DGAL enforcement programme starting 15 May 2026), Sweden and Finland. Verification of marketability in the destination country is the sole responsibility of the buyer. A current overview is available on request via info@hempwholesales.com.
